Terms of Service
The rules that govern use of Oreion’s website, online forms, parts and dealer portals, product information and business inquiries.
The website informs. Written agreements transact.
Product pages, specifications, pricing, renderings, dealer information and program descriptions are general information unless Oreion expressly incorporates them into a signed agreement. A purchase order, sales contract, dealer agreement, warranty or project statement of work may add or replace terms for that transaction.
By using the website, submitting a form, accessing an Oreion portal or purchasing an item directly from Oreion, you agree to these Terms. If you do not agree, do not use the applicable website or service.
Signed agreement
Vehicle sales, dealers, manufacturing, engineering and specialty programs.
Order and warranty
Accepted purchase orders, invoices, written warranties and return terms.
Website terms
General site use, inquiries, portals and content not covered elsewhere.
Acceptance and scope
These Terms of Service (“Terms”) apply to oreionmotors.com and Oreion-controlled webpages, forms and online services that link to them. They cover website browsing, product and program inquiries, parts and accessories information, dealer and distributor interest, customer communications and authorized portal use.
Additional terms may apply to a purchase, vehicle, deposit, dealer relationship, warranty, credit or floorplan service, engineering engagement, manufacturing program, government project or other transaction. If a specific written agreement conflicts with these Terms, that agreement controls for the subject it addresses.
Eligibility and authority
You must be legally capable of agreeing to these Terms. If you use the site or submit information for a company, government agency, dealer, distributor or other organization, you represent that you are authorized to act for that organization and that the information you provide is accurate.
The website is not directed to children under 13. Vehicle purchases, dealer applications and commercial programs may require additional age, licensing, credit, insurance or legal qualifications.
Oreion services and company role
Oreion Motors provides information and opportunities involving vehicles, parts, accessories, service support, dealers, distributors, engineering, product development, component production, contract manufacturing, global distribution and specialty programs.
The site may describe current capabilities, proposed programs, concepts, future products or work performed with suppliers and partners. Website content does not guarantee that a product, service, territory, production slot or business relationship will be available or approved.
Permitted and prohibited website use
You may use Oreion’s website for lawful personal or legitimate business purposes. You may not:
- Submit false, misleading, fraudulent, infringing, harmful or unlawful information.
- Attempt unauthorized access, bypass security, probe systems, introduce malware or interfere with availability.
- Impersonate another person or misrepresent authority, affiliation, territory or qualifications.
- Copy, republish or commercially exploit content except as expressly permitted.
- Scrape or harvest data through automated means except customary public search-engine indexing or with written permission.
- Use the website to violate sanctions, export controls, privacy, intellectual-property or other applicable laws.
Oreion may investigate misuse and restrict, suspend or terminate access when reasonably necessary to protect the site, users, Oreion or others.
Accounts, dealer systems and parts portals
Authorized parts, dealer and FileMaker-based portals may require an account. You are responsible for safeguarding credentials, limiting access to authorized users and promptly reporting suspected compromise. You may not share an account outside the organization or role for which access was granted.
Portal availability, records and functionality may change. Separate provider terms, dealer rules, data-access permissions or service notices may also apply. Oreion may suspend credentials for security, inactivity, suspected misuse, termination of a relationship or violation of applicable terms.
Product information, images and specifications
Oreion works to present useful and accurate information, but products evolve. Colors, dimensions, weight, range, speed, power, payload, equipment, accessories, pricing, model names, manufacturing location, specifications and availability may vary by model year, production run, market, dealer, configuration and supply.
Photography and video
May show optional equipment, prototypes, pre-production units, concept vehicles, dealer-installed items or configurations not included as standard.
Renderings and concepts
Illustrate design intent or capability and may not represent a production vehicle or final specification.
Published specifications
Are superseded by the accepted order, certification label, owner materials and documents supplied with the specific vehicle.
Availability
Products, options, colors, territories and delivery schedules may be changed, limited or discontinued.
Oreion may correct errors and update content without prior notice. Material terms for a transaction must be confirmed in writing.
Vehicle classification, registration and safe use
Vehicle classification, road legality, registration, titling, licensing, insurance, emissions, equipment and permitted use vary by country, state, province, municipality, configuration and intended application. A website statement that a vehicle is street legal, road capable, off-road capable or available in a market is not a guarantee that every configuration can be registered or used on every public road.
Before purchase or operation, the buyer, dealer and operator must verify the requirements that apply where the vehicle will be titled, registered and used. Follow all certification labels, warnings, owner materials, payload limits, maintenance requirements and applicable laws. Do not operate a vehicle in an unsafe, unlawful or unintended manner.
Never rely on a promotional page alone to determine certification, registration eligibility, equipment requirements, operating limits or suitability for a mission-critical use.
Orders, pricing, deposits, taxes and payment
Website displays and communications are invitations to discuss or place an order, not binding offers unless expressly stated. An order is accepted only when Oreion or the authorized seller confirms it under the applicable sales document.
Prices, fees, freight, duties, taxes, dealer charges, options and availability may change before acceptance. The purchaser is responsible for applicable taxes, registration, import, customs, shipping and other charges unless the controlling document states otherwise.
Deposits, cancellations, production allocations and payment schedules are governed by the accepted order or agreement. Payment and credit services may be provided by third parties under separate terms.
Shipping, returns, cancellations and warranties
Parts and accessories purchased directly from Oreion are subject to the published Return Policy and any terms shown on the order. Complete vehicles, dealer inventory, custom parts and program work may have different cancellation and return rules.
Warranty coverage is determined only by the written warranty applicable to the specific vehicle, part or service. Website descriptions, conversations and marketing materials do not create a warranty unless expressly included in a controlling written document. Nothing in these Terms excludes a non-waivable warranty or remedy provided by law.
Dealers, distributors and third-party sellers
Authorized dealers and distributors may be independently owned and operated. They can set their own prices, labor rates, financing options, local charges and service practices subject to their agreements and applicable law. Oreion is not responsible for an independent dealer’s separate promises or conduct unless Oreion confirms responsibility in writing.
Dealer listings and territory information can change. Contact the specific seller to confirm inventory, pricing, services, licensing and transaction terms.
Engineering, manufacturing, defense and specialty programs
Website descriptions of engineering, design, prototypes, plastics, composites, tooling, paint, contract manufacturing, armored vehicles, tactical vehicles, government systems or global production capabilities are general capability statements. Every program is subject to technical review, feasibility, capacity, commercial terms, safety requirements, export controls and a signed scope or contract.
No production commitment, exclusivity, certification, performance requirement, delivery date, intellectual-property transfer or confidentiality obligation exists unless included in a signed agreement.
Intellectual property and brand use
Oreion names, logos, vehicle names, designs, graphics, photographs, video, text, specifications, site layout and other materials are owned by Oreion or used with permission and are protected by applicable intellectual-property laws.
You may view and make a reasonable personal or internal-business copy for evaluating Oreion products or opportunities. You may not reproduce, modify, distribute, sell, create confusingly similar branding, remove notices or use Oreion marks in domains, advertising or commercial materials without written authorization. Dealer and partner brand use is controlled by the applicable agreement or brand guidelines.
Submissions, feedback and confidential information
You represent that you have the right to submit any message, photograph, document, specification or other material you provide. You authorize Oreion to use the submission as reasonably necessary to respond, evaluate the request, provide services, maintain records and operate the relationship.
General suggestions and feedback may be used without compensation or obligation. Do not submit trade secrets, classified information, export-controlled technical data, protected government information, bank credentials or other highly sensitive material through a general website form or ordinary email.
A general inquiry does not create a nondisclosure agreement. If a project requires confidentiality, controlled-data handling or secure file transfer, request the appropriate agreement and process before sending restricted material.
Privacy and electronic communications
Oreion’s handling of personal information is described in the Privacy Statement. By submitting a form or contacting us electronically, you consent to receive responses and transaction-related communications through the contact details provided. Marketing communications will include available opt-out choices where required.
Third-party websites, services and content
The site may link to dealers, distributors, social networks, maps, payment processors, lenders, shipping providers, FileMaker services or other third parties. Links are provided for convenience and do not make Oreion responsible for a third party’s availability, security, content, products or terms. Review the third party’s policies before use.
Website availability and disclaimers
To the fullest extent permitted by law, the website and general website content are provided “as is” and “as available.” Oreion does not guarantee uninterrupted access, error-free content, compatibility with every device, or that all information will remain current at all times.
These website disclaimers do not replace or reduce an express written warranty or contractual obligation Oreion has accepted for a specific product or program, and they do not exclude rights that cannot lawfully be waived.
Limitation of liability
To the fullest extent permitted by law, Oreion and its officers, employees and service providers will not be liable for indirect, incidental, special, exemplary or consequential losses arising solely from website use, inability to access the website, reliance on general website content, third-party links or unauthorized account use.
Any liability relating to a purchased vehicle, part, service or commercial program is governed by the applicable sales document, warranty or contract. Nothing in these Terms limits liability that cannot legally be limited, including where a law provides otherwise.
Indemnification for misuse
To the extent permitted by law, you agree to defend and hold Oreion harmless from third-party claims, damages and reasonable costs resulting from your unlawful website use, infringement, fraudulent submission, unauthorized portal activity or violation of these Terms. This provision does not apply to the extent a claim results from Oreion’s own conduct or where prohibited by law.
Governing law and disputes
These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law rules, except where another law must apply. Disputes concerning these website Terms will be brought in a court with proper jurisdiction in New Mexico unless applicable law requires another forum.
Before filing a claim, you and Oreion are encouraged to provide written notice and make a good-faith effort to resolve the issue. Transaction-specific agreements may include different dispute procedures that control for that transaction.
Changes and general terms
Oreion may update these Terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance of the revised Terms for future use.
- If one provision is unenforceable, the remaining provisions continue to apply.
- A failure to enforce a provision is not a waiver.
- You may not transfer website or portal rights without Oreion’s permission; Oreion may assign these Terms in connection with a business transaction.
- Oreion is not responsible for delay caused by events beyond reasonable control, subject to any controlling contract and applicable law.
- Headings are for convenience and do not change meaning.
